By accessing or using the Website you agree to be bound by this Agreement in full. If you do not agree to this Agreement, you may not access or use the Website. Aurelius Capital Ltd. (“Aurelius”, “we”, “us”) reserves the right to modify this Agreement at any time; modifications become effective ten (10) days after posting, and your continued use of the Website constitutes acceptance of the modified Agreement.
“Aurelius Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with Aurelius. “Aurelius Materials” means the Website and all Content made available on or through it, collectively. “Content” means text, data, images, photographs, videos, audio, graphics, logos, and similar materials. “Intellectual Property Rights” means all patents, copyrights, trademarks, trade secrets, moral rights, and any other intellectual property or proprietary rights, whether registered or unregistered, anywhere in the world.
For such time as this Agreement is in effect, we hereby grant you a personal, limited, non-exclusive, non-assignable, non-sublicensable, revocable right to access and use the Website solely for your own personal and non-commercial use. We may suspend or terminate your access at any time, with or without cause or notice.
You may not: copy, reproduce, modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Aurelius Materials; distribute, sell, sublicense, rent, lease, or otherwise transfer the Aurelius Materials to any third party; engage in screen scraping, data mining, or similar data-gathering or extraction activities; circumvent, disable, or otherwise interfere with security-related features of the Website; introduce any viruses, malware, or other harmful code; or use the Aurelius Materials to develop any product or service that competes with the Website.
You may link to the Website provided that any such link accurately describes the linked content, does not misrepresent your relationship with Aurelius or imply any sponsorship, endorsement, or approval by Aurelius, and originates from a website that complies with applicable law and does not contain offensive, infringing, or unlawful content.
The Website may display or communicate Content belonging to third parties (“Third Party Content”). Nothing in this Agreement grants you any right, title, or interest in the foregoing except for the limited access right expressly set out above.
THE AURELIUS MATERIALS ARE PROVIDED AND MADE AVAILABLE TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND AT YOUR SOLE RISK, WITHOUT ANY REPRESENTATION, WARRANTY, GUARANTEE, OR CONDITION OF ANY KIND. AURELIUS MAKES NO WARRANTY THAT THE AURELIUS MATERIALS WILL BE EFFECTIVE, RELIABLE, ACCURATE, SECURE, UNINTERRUPTED, OR ERROR-FREE. NOTHING ON THIS WEBSITE CONSTITUTES, OR IS INTENDED TO CONSTITUTE, AN OFFER OR SOLICITATION TO BUY OR SELL ANY SECURITIES, OR INVESTMENT, LEGAL, TAX, OR OTHER ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE UNDER, OR OTHERWISE IN CONNECTION WITH, THIS AGREEMENT FOR ANY CONSEQUENTIAL, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF REVENUE, LOSS OF ANTICIPATED SAVINGS, OR OTHER ECONOMIC LOSS, HOWEVER ARISING, WHETHER OR NOT SUCH PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to defend, indemnify, and hold harmless Aurelius, the Aurelius Affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your breach of this Agreement or your use of the Website. You shall not settle any such claim in a manner that admits liability on behalf of Aurelius without Aurelius’s prior written consent.
This Agreement (including, without limitation, its validity) shall be governed by, and construed in accordance with, the laws of the State of Israel, without regard to any conflicts of laws rules or principles. The competent courts of Tel Aviv-Jaffa shall have exclusive jurisdiction over any dispute arising under or in connection with this Agreement. Any claim must be filed within one (1) year after the cause of action arises.
This Agreement constitutes the entire agreement between you and Aurelius regarding the Website and supersedes all prior agreements and representations. You represent that you are at least eighteen (18) years old and, in any event, of a legal age to form a binding contract. Aurelius may assign its rights under this Agreement without notice; you may not assign yours without Aurelius’s prior written consent. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force, and the invalid provision shall be modified to the minimum extent necessary to preserve its intent. No waiver shall be effective unless in writing. The parties are independent contractors. Notices to Aurelius should be sent to contact@aureliuscap.co. Neither party shall be liable for any failure resulting from causes beyond its reasonable control, including acts of God, war, or governmental action. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference.
